By accessing or using the website or submitting information through the AI Value Gap Assessment or any related form, you agree to these Terms. If you do not agree, do not use the website.

The website, assessment, reports, scores, benchmarks, narratives, recommendations, and related materials are provided for general business and informational purposes only. They are not legal, tax, accounting, compliance, investment, employment, cybersecurity, or other professional advice, and they should not be relied on as a substitute for independent professional judgment.

Any assessment output reflects a model-based interpretation of submitted responses and related assumptions. It is not a guarantee of performance, readiness, value realization, or business outcome.

3. Eligibility

You may use the website only if you are legally able to enter into a binding agreement and are using the site for lawful business or professional purposes.

4. Your Use of the Website

You agree to use the website only in a lawful manner and not to:

  • submit false, misleading, infringing, defamatory, or unlawful content,
  • attempt to interfere with the operation or security of the website,
  • reverse engineer, scrape, copy, or exploit the website or assessment logic beyond permitted use,

5. Survey Inputs and Your Responsibility

If you submit information through the assessment or any form, you represent that:

  • you have the right to provide it,
  • your submission does not violate any law, contract, or third-party right,
  • you understand that report quality depends on the quality and completeness of your responses.

You should not submit confidential information, trade secrets, regulated data, sensitive personal information, or any information you are not authorized to disclose unless you have separately agreed with us in writing on appropriate handling terms.

6. Intellectual Property

The website and all related content, including text, branding, logos, graphics, methodologies, survey structures, scoring approaches, frameworks, designs, reports, software, and other materials, are owned by or licensed to NEXIRO and are protected by intellectual property and other laws.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the website for your internal business evaluation purposes.

You may not reproduce, distribute, modify, create derivative works from, republish, sell, license, or publicly display any part of the website or its outputs except as expressly permitted in writing.

7. Feedback

If you provide ideas, suggestions, comments, or feedback, you grant NEXIRO a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback for any lawful purpose without compensation or obligation to you.

8. Reports, Benchmarks, and Reuse of Insights

NEXIRO may use survey responses and usage data to create reports, benchmarks, analytics, and insights. NEXIRO may also create aggregated, anonymized, or de-identified information and use, publish, disclose, license, sell, or otherwise commercialize that information for lawful business purposes, provided that the information does not reasonably identify you as an individual.

Nothing in these Terms transfers ownership of NEXIRO’s methodologies, scoring systems, benchmark structures, or other proprietary materials.

9. Marketing and Follow-Up Communications

If you provide contact details, NEXIRO may contact you regarding your assessment, related services, consultations, reports, events, and other commercial opportunities, subject to applicable law and your available opt-out rights. CAN-SPAM requires commercial email compliance even in B2B contexts. 

10. Third-Party Services and Links

The website may include links to third-party websites, tools, or services. We do not control and are not responsible for third-party content, privacy practices, or terms.

11. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, ASSESSMENTS, REPORTS, AND MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RESULTS.

NEXIRO does not warrant that the website will be uninterrupted, error-free, secure, or free from harmful components, or that any output will be complete, accurate, or suitable for your needs.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXIRO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
